Terms & Conditions
The terms that apply to the projects, products and support we deliver for our clients.
Last updated: 15 October 2026
These Terms & Conditions apply to projects, products and support services that Softoin delivers for its clients. They work together with the proposal or statement of work (“Proposal”) agreed for each project and our Terms of Service. If the Proposal says something different, the Proposal applies.
1. Scope of work
The features, deliverables, timeline and price of a project are set out in the Proposal. Anything not listed there is outside the agreed scope. New requests or changes are welcome; we will estimate them and start them once you approve the change in writing.
2. Project start and timelines
- A project starts once the Proposal is accepted, the advance payment is received and the requirements needed for the first phase have been shared.
- Timelines are counted in working days from the start date and depend on timely feedback, approvals, content and access from the client.
- If a delay is caused by missing inputs or by changes to the scope, the timeline moves accordingly.
3. Client responsibilities
- Share accurate requirements, content, brand assets and test data on time.
- Give access to the accounts and systems we need (for example hosting, domain, app store or third-party accounts).
- Review deliveries and share feedback or approval within five working days of each demo or milestone.
- Make sure the content and data you provide may lawfully be used in the project.
4. When we do not hear back
If we do not receive a response, inputs or payment for more than 10 working days despite reminders, we may pause the project and reassign the team. If there is still no response after 30 working days, we may close the project, and work completed up to that point becomes payable. A paused or closed project can be restarted by mutual agreement, with a revised timeline.
5. Payments
- Payments are made in milestones as set out in the Proposal, starting with an advance payment before work begins.
- Invoices are payable within 7 days of the invoice date unless the Proposal says otherwise.
- GST at the applicable rate (currently 18% for software services) is added for clients in India. International clients are invoiced according to the applicable tax rules.
- Third-party costs such as hosting, domains, app store accounts, paid plugins, SMS or email credits are paid by the client, either directly or reimbursed at actual cost.
- If a payment is overdue, we may pause work, deployments or support until it is cleared.
6. Delivery, testing and acceptance
We test each milestone before delivery. You then have five working days to report any part that does not match the agreed scope. If no issues are reported in that time, or the software is used in production, the milestone is treated as accepted.
7. Warranty and support
For 30 days after final delivery we fix, at no extra cost, defects where the software does not work as described in the Proposal. This does not cover new features, changes made by others, third-party service changes or issues caused by misuse or the hosting environment. Ongoing maintenance, hosting, updates and support are available through a separate support plan.
8. Ownership and handover
When all project invoices are paid in full, ownership of the custom source code, designs and documentation created for you is transferred to you, and we hand over the code and credentials we hold. Until then, we keep ownership and may hold back the handover. Open-source and third-party components remain under their own licences. We may mention the project in our portfolio only with your permission.
9. Confidentiality
We keep your business information, data and credentials confidential, during the project and after it ends. A separate non-disclosure agreement can be signed on request.
10. Cancellations and refunds
Either party may end a project with written notice. Work completed up to the notice date is payable. Refunds, where applicable, follow our Refund Policy.
11. Fraud and impersonation warning
Softoin builds software for businesses. We do not offer trading, investment, wallet, deposit or “task-based” earning schemes, and we never ask job applicants to pay fees, complete paid tasks or share bank details. Messages that claim otherwise, from unofficial websites, apps, WhatsApp or Telegram accounts using our name, are not from us. Softoin is not responsible for any loss caused by such impersonation. If in doubt, contact us through this website or at sales@softoin.com.
12. Governing law
These Terms & Conditions are governed by the laws of India, and disputes are handled as described in our Terms of Service.
